General Regulations<\/span><\/h3>\n<ul data-start=\"195\" data-end=\"481\">\n<li data-section-id=\"wt3fxy\" data-start=\"195\" data-end=\"234\">\n<p data-start=\"197\" data-end=\"234\"><span style=\"font-size: 12pt;\">Trading unit (volume): 01 bond.<\/span><\/p>\n<\/li>\n<li data-section-id=\"15r3zgn\" data-start=\"235\" data-end=\"275\">\n<p data-start=\"237\" data-end=\"275\"><span style=\"font-size: 12pt;\">Minimum trading volume: 01 bond.<\/span><\/p>\n<\/li>\n<li data-section-id=\"qfy6cp\" data-start=\"276\" data-end=\"324\">\n<p data-start=\"278\" data-end=\"324\"><span style=\"font-size: 12pt;\">Price quotation unit (tick size): VND 1.<\/span><\/p>\n<\/li>\n<li data-section-id=\"1joebo2\" data-start=\"325\" data-end=\"435\">\n<p data-start=\"327\" data-end=\"435\"><span style=\"font-size: 12pt;\">Trading day (T): The day on which privately placed bonds are traded and matched on the Stock Exchange.<\/span><\/p>\n<\/li>\n<li data-section-id=\"qt9a21\" data-start=\"436\" data-end=\"481\">\n<p data-start=\"438\" data-end=\"481\"><span style=\"font-size: 12pt;\">Settlement cycle: T-day settlement.<\/span><\/p>\n<\/li>\n<\/ul>\n<p data-start=\"483\" data-end=\"524\"><span style=\"font-size: 12pt;\">Order Amendment \/ Cancellation Rules:<\/span><\/p>\n<ul data-start=\"526\" data-end=\"638\">\n<li data-section-id=\"1m35854\" data-start=\"526\" data-end=\"583\">\n<p data-start=\"528\" data-end=\"583\"><span style=\"font-size: 12pt;\">Confirmed orders: Cannot be amended or cancelled.<\/span><\/p>\n<\/li>\n<li data-section-id=\"1fmivj\" data-start=\"584\" data-end=\"638\">\n<p data-start=\"586\" data-end=\"638\"><span style=\"font-size: 12pt;\">Unconfirmed orders: May be amended or cancelle<\/span>d<\/p>\n<\/li>\n<\/ul>\n<p>3. Trading Methods<\/p>\n<ul>\n<li>Transaction Type: Standard buy\u2013sell transactions.<\/li>\n<li>Electronic Negotiated Transactions:<br data-start=\"771\" data-end=\"774\" \/>A trading method whereby a trading member enters firm bid\/offer orders into the system, or selects appropriate counter orders already available in the system to execute the transaction.<\/li>\n<li>Conventional Negotiated Transactions:<br data-start=\"1006\" data-end=\"1009\" \/>A trading method in which the buyer and seller mutually agree on the transaction terms in advance, and subsequently report the transaction results into the Privately Placed Corporate Bond Trading System (TPRL) to establish the transaction and complete settlement.<\/li>\n<\/ul>\n<p>4. Trading Procedure<\/p>\n<p>Step 1: Open a Securities Trading Account and Register for Trading of Privately Placed Corporate Bonds (TPRL). Clients must open a securities trading account and register for trading of TPRL. Clients may place trading orders one day after completing the TPRL trading registration..<\/p>\n<p>Required Documentation:<\/p>\n<p><em>If the client already has a securities trading account at SBS:<\/em><\/p>\n<ul>\n<li data-section-id=\"1v3vnoa\" data-start=\"1821\" data-end=\"1933\">\n<p data-start=\"1823\" data-end=\"1933\">Request form for opening a sub-account for privately placed corporate bond trading (TPRL) (SBS template)<\/p>\n<\/li>\n<li data-section-id=\"1x05tp9\" data-start=\"1934\" data-end=\"2002\">\n<p data-start=\"1936\" data-end=\"2002\">Documents proving Professional Investor status (if applicable)<\/p>\n<\/li>\n<\/ul>\n<p><em>If the client does not yet have a securities trading account at SBS:<\/em><\/p>\n<ul>\n<li data-section-id=\"18btbuw\" data-start=\"2078\" data-end=\"2130\">\n<p data-start=\"2080\" data-end=\"2130\">Securities Trading Account Opening Agreement<\/p>\n<\/li>\n<li data-section-id=\"4bkm2b\" data-start=\"2131\" data-end=\"2193\">\n<p data-start=\"2133\" data-end=\"2193\">Online Trading Agreement and Service Registration Form<\/p>\n<\/li>\n<li data-section-id=\"1v3vnoa\" data-start=\"2194\" data-end=\"2306\">\n<p data-start=\"2196\" data-end=\"2306\">Request form for opening a sub-account for privately placed corporate bond trading (TPRL) (SBS template)<\/p>\n<\/li>\n<li data-section-id=\"1x05tp9\" data-start=\"2307\" data-end=\"2375\">\n<p data-start=\"2309\" data-end=\"2375\">Documents proving Professional Investor status (if applicable)<\/p>\n<\/li>\n<\/ul>\n<p>Step 2: Trading Guidelines<\/p>\n<p><em>\u2013 For Buyers:<\/em><\/p>\n<p>(1) The client must qualify as a Professional Investor, and such status must remain valid at the time of the transaction.<\/p>\n<p>(2) Order Placement Information:<\/p>\n<ul data-start=\"2607\" data-end=\"2885\">\n<li data-section-id=\"43n4s4\" data-start=\"2607\" data-end=\"2668\">\n<p data-start=\"2609\" data-end=\"2668\">A completed order form with all required information.<\/p>\n<\/li>\n<li data-section-id=\"42f15j\" data-start=\"2672\" data-end=\"2885\">\n<p data-start=\"2674\" data-end=\"2885\">Completion and signing of Appendix V \u2013 Investor Confirmation Document Prior to Purchasing Bonds, issued in accordance with <span class=\"hover:entity-accent entity-underline inline cursor-pointer align-baseline\"><span class=\"whitespace-normal\">Decree No. 65\/2022\/ND-CP<\/span><\/span> dated 16 September 2022 of the Government.<\/p>\n<\/li>\n<\/ul>\n<p>(3) The client must deposit 100% of the transaction value into the account prior to executing the transaction<\/p>\n<p><em>\u2013 For Sellers:<\/em><\/p>\n<p>(1) The quantity of bonds placed for sale must be less than or equal to the available balance of privately placed corporate bonds in the account (freely tradable status)<\/p>\n<p>(2) Order Placement Information: A completed order form containing all required information in accordance with applicable regulations.<\/p>\n<p>5. Professional Securities Investor Requirements<\/p>\n<p>When purchasing privately placed corporate bonds, investors must qualify as a Professional Securities Investor and sign the Investor Confirmation Form prior to purchasing bonds.<\/p>\n<p>Step 1: Clients complete and sign the Application for Certification of Professional Investor Status (in accordance with the prescribed template) and submit the required supporting documents to SBS<\/p>\n<div class=\"bic-table-responsive\"><table style=\"width: 100%; height: 1229px;\" width=\"680\">\n<tbody>\n<tr style=\"height: 68px;\">\n<td style=\"height: 68px;\" width=\"110\">STT<\/td>\n<td style=\"height: 68px;\" width=\"291\">The following entities and individuals may be recognized as Professional Securities Investors<\/td>\n<td style=\"height: 68px;\" width=\"271\">The following documents may be used to verify Professional Securities Investor status<\/td>\n<\/tr>\n<tr style=\"height: 251px;\">\n<td style=\"height: 251px;\" width=\"110\">1<\/td>\n<td style=\"height: 251px;\" width=\"291\">Commercial banks, foreign bank branches, finance companies, insurance institutions, securities companies, securities investment fund management companies, securities investment companies, investment funds, international financial institutions, off-budget state financial funds, and state financial institutions permitted to purchase securities in accordance with applicable laws.<\/td>\n<td style=\"height: 251px;\" width=\"271\">Enterprise Registration Certificate, Establishment and Operation License, or other equivalent legal documents<\/td>\n<\/tr>\n<tr style=\"height: 182px;\">\n<td style=\"height: 182px;\" width=\"110\">2<\/td>\n<td style=\"height: 182px;\" width=\"291\">Companies with contributed charter capital exceeding VND 100 billion, or listed companies and organizations registered for trading on the securities market.<\/td>\n<td style=\"height: 182px;\" width=\"271\">\n<p data-start=\"1542\" data-end=\"1665\">For listed companies or trading-registered organizations:<br data-start=\"1603\" data-end=\"1606\" \/>Decision approving listing or trading registration.<\/p>\n<p data-start=\"1669\" data-end=\"1869\">For other organizations:<br data-start=\"1697\" data-end=\"1700\" \/>Enterprise Registration Certificate or equivalent document, together with audited annual financial statements or reviewed semi-annual financial statements<\/p>\n<\/td>\n<\/tr>\n<tr style=\"height: 45px;\">\n<td style=\"height: 113px;\" rowspan=\"2\" width=\"110\">3<\/td>\n<td style=\"height: 113px;\" width=\"110\">4<\/td>\n<td style=\"height: 456px;\" rowspan=\"2\" width=\"291\">Individuals holding a portfolio of listed or registered-for-trading securities with a minimum value of VND 2 billion, determined based on the average daily market value of the portfolio over at least 180 days preceding the date of determination of professional investor status.<\/td>\n<td style=\"height: 45px;\" width=\"271\">Identity Card \/ Citizen Identity Card<\/td>\n<\/tr>\n<tr style=\"height: 411px;\">\n<td style=\"height: 411px;\" width=\"271\">Certification issued by the securities company where the investor maintains a trading account, confirming that the investor holds a portfolio of listed or registered-for-trading securities with a minimum value of VND 2 billion, determined based on the average daily market value of the portfolio during at least 180 consecutive days immediately preceding the date of determination of professional investor status, excluding margin loan value and securities used in repurchase transactions.<br \/>\nThe determination of professional investor status under this criterion is valid for 03 months from the date of certification<\/td>\n<\/tr>\n<tr style=\"height: 45px;\">\n<td style=\"height: 159px;\" rowspan=\"2\" width=\"110\">5<\/td>\n<td style=\"height: 159px;\" rowspan=\"2\" width=\"291\">Individuals whose taxable income in the most recent year is at least VND 1 billion (in the year immediately preceding the year of the bond purchase)<\/td>\n<td style=\"height: 45px;\" width=\"271\">Identity Card \/ Citizen Identity Card<\/td>\n<\/tr>\n<tr style=\"height: 114px;\">\n<td style=\"height: 114px;\" width=\"271\">Tax declaration dossiers submitted to the tax authority or tax withholding certificates issued by the income-paying organization or individual for the most recent year<\/td>\n<\/tr>\n<\/tbody>\n<\/table><\/div>\n<p><strong>Step 2<\/strong>: SBS will review and verify the <strong data-start=\"503\" data-end=\"572\">validity and completeness of the documents provided by the client<\/strong>.<\/p>\n<p><strong data-start=\"575\" data-end=\"586\">Step 3: <\/strong>SBS will issue a <strong data-start=\"606\" data-end=\"655\">Certification of Professional Investor Status<\/strong> once the submitted information and documentation have been verified as valid and compliant with the applicable
